1. About These Terms

These Terms & Conditions ("Terms") govern all purchases from Big Distro Inc. ("Big Distro," "we," "our," or "us"), whether placed through bigdistroinc.com, by phone, by email, or through a sales representative, and your use of our website. By opening an account or placing an order, the business you represent ("Customer," "you") agrees to these Terms.

2. Business-to-Business Sales Only

Big Distro is a licensed wholesale distributor. We sell only to businesses purchasing for resale, never to consumers for personal use. Every person who opens or uses an account must be at least 21 years of age and authorized to act for the Customer.

3. Wholesale Accounts and Licensing

• To open an account you must submit a complete wholesale application with supporting documents, which may include your EIN/tax ID, state and local tobacco retail licenses or permits, and a resale certificate (such as North Carolina Form E-595E).
• Accounts are approved at our discretion after document verification.
• You must keep your licenses current and notify us promptly if any license expires or is suspended or revoked. We may suspend your account or refuse orders if your documentation is missing, expired, or invalid.
• You are responsible for all activity under your login and must keep your credentials confidential.

4. Orders and Acceptance

• Orders may be placed through our website, by email, by phone, or through your sales representative, and are subject to product availability and price confirmation.
• An order confirmation acknowledges that we received your order; it is not acceptance. A binding sale is formed when we ship the order or process your payment.
• We may refuse or cancel any order for any reason, including suspected fraud, licensing issues, or legal restrictions in your location.

5. Pricing

All prices are in U.S. dollars. Wholesale pricing is available only to approved accounts and may change without notice. If a price or product description is shown in error, we may correct it and give you the option to confirm or cancel the order, even after you have received an order confirmation.

6. Taxes and Tobacco Tax Compliance

• Big Distro holds tobacco products distributor licenses in North Carolina, South Carolina, Virginia, and Tennessee and collects and remits the applicable state tobacco products taxes on taxable products shipped into those states. This does not apply where, before the order ships, the Customer provides valid proof that it is a licensed distributor or wholesaler authorized to report and pay those taxes directly.
• Sales tax is charged unless a valid resale or exemption certificate is on file with us.
• For any other destination, and for any tax you claim responsibility for, you are solely responsible for reporting and paying all applicable local, state, and federal taxes.
• We report sales information to state tax agencies and federal authorities as required by law, as described in our Privacy Policy.

7. Payment

• Payment is due in full when you place an order unless we have agreed to credit terms with you in writing.
• Accepted payment methods: ACH, wire transfer, Zelle, credit and debit cards (processed securely by Authorize.net), checks, and cash.
• Returned checks: each returned or dishonored check is subject to a processing fee of up to the maximum permitted by North Carolina law (currently $35 under N.C. Gen. Stat. § 25-3-506). After two (2) returned checks, checks will no longer be accepted, and all future orders must be prepaid by ACH, wire transfer, Zelle, or card before processing and shipment.
• Late payments: if a payment is past due, we may place your account on hold and stop shipments until the balance is paid. You are responsible for reasonable costs of collection as permitted by law.

8. Shipping and Delivery

• Tobacco products ship only to the Customer’s licensed business location in North Carolina, South Carolina, Virginia, or Tennessee. Non-tobacco accessories may ship to all 50 states.
• Local accounts are served by our own delivery team; other orders ship by parcel carrier or freight. Larger freight orders may require coordination and additional handling charges.
• Shipping and delivery charges are shown at checkout or set by your account agreement. Free shipping applies to orders that meet the minimum shown at checkout or in your account agreement.
• Delivery times are estimates. We are not liable for delays caused by carriers, weather, or other events outside our control.
• Title and risk of loss pass to you when the order is delivered to the carrier or, for our own deliveries, when it is delivered to your location.

9. Returns, Damage and Shortage Claims

• All sales are final. Returns and exchanges are not accepted.
• Please inspect every order on arrival. Damaged, broken, or missing items must be reported within three (3) days of delivery, with photos and a description, and noted on the delivery receipt or bill of lading where possible.
• Replacements or credits will not be issued for claims made more than three (3) days after delivery.
• Orders may be canceled through your sales representative until they ship. Once shipped, an order cannot be canceled.

10. Responsible Sale and Legal Compliance

You agree to comply with all federal, state, and local laws that apply to the sale of tobacco and nicotine products, including:

• the federal minimum sales age of 21 for all tobacco products;
• verifying photo identification for any purchaser who appears to be under 30;
• local restrictions on flavored products, product displays, and sales channels;
• reselling our products only from properly licensed locations, and never to minors or unlicensed buyers.

WARNING: Some of our products contain nicotine. Nicotine is an addictive chemical. We are not responsible for how our products are used or resold after delivery.

11. Warranties

Products will be free of material defects at the time of delivery; defects must be reported under Section 9. Any manufacturer warranties are passed through to you. Except as stated in this section, and to the fullest extent permitted by law, products are sold “as is,” without any other express or implied warranties, including warranties of merchantability or fitness for a particular purpose.

12. Limitation of Liability

To the fullest extent permitted by law, Big Distro will not be liable for any indirect, incidental, special, or consequential damages. Our total liability for any claim will not exceed the amount you paid for the products that gave rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Big Distro and its officers, employees, and affiliates from any claims, fines, penalties, and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any law, or your resale, marketing, or use of the products.

14. Website and Intellectual Property

All website content, logos, and trademarks of Big Distro are the property of Big Distro or its licensors and may not be used without our written consent. Product brand names and logos belong to their respective owners and are shown only to identify the products we distribute.

15. Privacy

Our Privacy Policy explains how we collect, use, and share information about our customers and website visitors.

16. Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in Wake County, North Carolina.

17. Force Majeure

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, carrier failures, war, or terrorism.

18. General

• We may update these Terms at any time by posting a revised version with a new effective date. The version posted when you place an order applies to that order.
• If any part of these Terms is found unenforceable, the remaining provisions stay in effect.
• These Terms, together with any written credit agreement between us, are the entire agreement governing your purchases.
